I draft and negotiate agreements for licensing and acquiring technology and IP assets. My practice spans the high technology and life sciences sectors, with specialties in software, AI, cloud computing and SaaS, digital health, biopharmaceuticals, biotechnology, clean energy, and aerospace.

I manage agreements under many different arrangements, including procurement, development and services, collaboration, co-commercialization, and technology transfer. I also address the special features in mergers, acquisitions, joint ventures, divestitures, project finance, royalty monetization, and other corporate transactions.

Data & IP in Aquisitions

For both traditional and start-up defense companies, I draft and negotiate contracting arrangements for IP licensing and data delivery in government acquisitions. I craft approaches under the DFARS and special licenses that are customized to specific acquisition pathways and uphold protecting innovation. I negotiate data rights and IP pricing with a keen understanding of the government’s contracting expectations and technology needs, while protecting innovative IP.

IP Diligence & Valuation

Working in close alignment with evolving business needs from transaction start to finish, I provide practical IP diligence strategies to assess IP quality. I evaluate patents, trade secrets, copyrights, and trademarks. I assess any IP consideration that may arise in transactions: validity, enforceability, ownership, inventorship, patentability, and freedom-to-operate under third-party rights. In addition, I work with clients on IP risk mitigation strategies to address potential weaknesses.

To drive high-stakes decisions on pricing and royalties, I leverage IP valuation metrics. In tandem with diligence findings on IP quality, I position IP for monetization by weighing IP data and pricing analytics across core valuation approaches and financial risk management.
